Effective Date: 27 September 2026 | Last Updated: 27 September 2026

1. Introduction and Acceptance

1.1 These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Indipik Digital Media LLP ("Indipik", "we", "us", or "our"), a limited liability partnership incorporated under the laws of India, having its registered office at 40, Brijeshwari Nx, 2nd Floor, Near Bengali Square, Indore (452016), Madhya Pradesh, India, and holding GSTIN [GSTIN]. These Terms govern your access to and use of the Indipik website at www.indipik.com, web applications, customer account portals, search algorithms, image library, checkout mechanisms, download facilities, brief-submission workflows, and customer support services (collectively, the "Platform").

1.2 By accessing, browsing, creating an account, clicking an "I Agree" or acceptance checkbox, making a purchase, subscribing to a plan, downloading a preview or licensed image, or submitting a campaign brief, you confirm that you have read, understood, and unconditionally agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you are accessing or using the Platform on behalf of a company, advertising agency, corporate marketing team, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms. If you do not agree to these Terms, you must immediately cease all access to and use of the Platform.

2. Relationship with Other Agreements and Contract Precedence

2.1 These Terms govern general Platform access, self-service transactions, and website browsing. If you execute a separate Master Subscriber Agreement, Enterprise Order Form, Custom Shoot Agreement, or Special Exclusivity Agreement with Indipik, those executed legal instruments shall supplement these Terms.

2.2 In the event of any direct conflict or inconsistency between these website Terms and an executed contract, the following order of strict legal precedence shall apply:

  • (a) Signed Special Exclusivity or Enterprise Addendum;
  • (b) Executed Subscriber Order Form (Schedule 1);
  • (c) Master Subscriber Agreement;
  • (d) Specific Licence Certificate generated at download;
  • (e) These Website Terms of Use; and
  • (f) Public FAQs and explanatory website marketing content.

3. Business-to-Business Focus and Eligibility

3.1 The Platform is a specialized Business-to-Business (B2B) digital marketplace designed for advertising agencies, brand marketing teams, digital performance studios, publishers, corporations, financial institutions, development sector NGOs, and professional creative directors. You represent and warrant that you are acquiring licenses and accessing the Platform strictly for business, professional, institutional, or commercial communication purposes.

3.2 You must be at least 18 years of age and legally competent to enter into binding contracts under the Indian Contract Act, 1872. Individuals under 18 years of age are strictly prohibited from creating accounts, submitting briefs, or purchasing licenses. An authorized corporate administrator may create and manage accounts for organizational team members.

4. Platform Definitions

For the purposes of these Terms, the following terms shall have the meanings assigned below:

  • "Account" means the registered organizational or individual profile created on the Platform to access licensing, search, and download functions.
  • "Asset" or "Image" means any commercially cleared photograph, visual asset, vector, or graphic file made available for licensing on the Platform.
  • "Authorised User" means an individual employee or contractor designated by a subscribing organization to access the Platform under its assigned account logins.
  • "Declared End-Client" means the specific third-party client or brand named by an advertising agency at the time of image licensing.
  • "Full Commercial Licence" means a license granting worldwide, perpetual usage across print, outdoor billboards, retail POS, packaging, corporate reports, and all digital channels.
  • "Digital Licence" means a license restricted strictly to online and electronic media, including websites, mobile apps, social media, and digital display ads.
  • "Preview" means a watermarked, reduced-resolution image file provided solely for internal evaluation, client pitch decks, and draft layout preparation.
  • "Subscription Retainer" means a recurring monthly commercial plan providing a fixed monthly download allowance, team user seats, and credit rollover rights.

5. Account Registration, Team Seats, and Credentials

5.1 To license content or access business tools, you must register for an Account by providing accurate, complete, and current organizational information, including legal entity name, corporate address, business email, mobile number, and GSTIN (where applicable).

5.2 Each Authorised User must maintain an individual, secure login credential. Generic account sharing, credential pooling, or transferring passwords outside designated team members is strictly prohibited and constitutes a material breach resulting in immediate account suspension.

5.3 Subscribers are fully responsible for all licensing transactions, brief submissions, and download activities conducted through their Account. Organizations must immediately revoke login access for departed employees or contractors and notify support@indipik.com of any suspected security compromise.

6. Platform Services and Taxonomy Capabilities

6.1 Indipik provides search, filtering, previewing, brief submission, assisted curation ("Brief-to-Board"), licensing, invoice management, and download delivery features. We continuously update our 50,000+ image library and taxonomy filters covering Indian states, crops, occupations, demographics, and cultural themes.

6.2 While Indipik endeavors to maintain 99.5% platform uptime, we do not guarantee uninterrupted access. Features, search algorithms, or specific image availability may be updated, modified, or discontinued without prior notice.

7. Search Results, Metadata, and Image Descriptions

7.1 Search keywords, state tags, crop stage classifications, and subject descriptions are provided to facilitate creative discovery. They reflect shoot locations, regional cultural contexts, or primary visual themes.

7.2 Users must independently review visual previews, technical resolutions, and release statuses prior to licensing. Keywords do not constitute a legal representation that a depicted model actually holds the specific occupation, medical history, religion, or personal background illustrated.

8. Watermarked Previews, Mood Boards, and Comp Usage

8.1 Registered business accounts may download watermarked Preview comps or share interactive board links solely for internal evaluation, creative layouts, client pitch presentations, and design approvals.

8.2 Watermarked Previews must NOT be published, broadcast, displayed publicly, used in live advertising, distributed as standalone files, or modified to remove, obscure, or alter the Indipik watermark. Any unauthorized publication of a watermarked comp constitutes willful copyright infringement.

9. Mandatory 100% Advance Payment System and Pricing Structure

9.1 ALL PURCHASES AND SUBSCRIPTION RETAINERS ON INDIPIK OPERATE STRICTLY ON A 100% ADVANCE PAYMENT SYSTEM. Indipik does NOT offer post-dated credit terms, 15-day/30-day deferred billing, or post-delivery invoicing. Platform access, download credits, campaign packs, and subscription activations are enabled ONLY AFTER 100% cleared advance payment is received.

9.2 Payment Methods: Advance payments must be made online via Axis Bank PCI-DSS payment gateway (Credit/Debit Cards, Net Banking, UPI) or through direct electronic bank transfer (NEFT/RTGS) to Indipik's designated bank account.

9.3 Statutory Tax Deductions (TDS): Corporate buyers deducting Income Tax at Source under the Income Tax Act, 1961, may deduct statutory TDS from the advance payment provided a valid TDS Certificate (Form 16A) is uploaded to the account portal within 60 days of the relevant quarter-end. Failure to submit Form 16A within 60 days shall result in the deducted amount becoming payable immediately.

9.4 All listed prices are exclusive of 18% GST, which shall be added at checkout. Tax invoices are generated automatically upon clearance of advance payment.

11.2 Subscriptions are billed 100% in advance at the start of each monthly billing cycle. Unused monthly download credits roll over automatically while the subscription remains active and fully paid (up to 90 days for Starter/Pro; up to 180 days for Enterprise).

11.3 Subscriptions renew automatically unless cancelled via the account dashboard at least 7 days prior to the next monthly renewal date. Upon cancellation, unused download credits expire at the end of the paid billing cycle.

12. Refunds, Technical Defect Replacements, and Non-Refundability

12.1 Digital Download Non-Refundability: Because Indipik delivers digital files instantly, all paid advance purchases, campaign packs, and subscription fees are non-refundable once a file download is initiated or made available.

12.2 Technical Replacement Guarantee: If a downloaded file is technically defective, corrupted, or materially mismatched with its website preview, Indipik shall replace the file or restore the download credit within 24 hours of notification to support@indipik.com. Client rejection, change of creative mind, or failure to check specifications does not qualify for a refund.

13. 100% Commercial Clearance Guarantee (No Editorial Images)

13.1 Exclusive Commercial Focus: Indipik offers EXCLUSIVELY 100% commercially cleared photography. The platform does NOT license "Editorial-Only" assets, un-released photojournalism, or news-restricted imagery.

13.2 Every asset licensed on Indipik carries verified, signed Model Releases and Property Releases (where legally required), guaranteeing that corporate brands and advertising agencies can use licensed assets safely in commercial advertising, marketing, packaging, print, and digital campaigns without third-party publicity or privacy claims.

14. Media Format Licensing Scope (Digital vs. Full Commercial)

14.1 Digital Licence Scope (₹3,499 Single / ₹15k Starter Retainer):

Grants non-exclusive, perpetual, worldwide rights to use the licensed image across ALL digital and online channels, including: company websites, mobile applications, social media handles (Facebook, Instagram, LinkedIn, YouTube, X), online performance ads, email newsletters, digital pitch decks, and web banners.

14.2 Full Commercial Licence Scope (₹6,999 Single / ₹45k Pro Retainer / ₹90k Enterprise Retainer):

Grants non-exclusive, perpetual, worldwide rights covering ALL Digital channels PLUS offline commercial media, including: print advertisements, newspapers, magazines, OOH billboards, highway hoardings, transit ads, retail Point-of-Sale (POS) displays, dealer collateral, corporate brochures, annual reports, product catalogues, and physical packaging.

15. Full Resolution Delivery Guarantee (Zero Resolution Taxes)

15.1 Indipik DOES NOT charge separate fees for web, print, or billboard resolutions. Unlike legacy platforms that charge up to ₹32,000 for large print megapixels, EVERY licensed download on Indipik delivers the MAXIMUM available camera-resolution JPEG file upfront at no additional charge.

15.2 Licensees receive uncompressed, high-resolution files suitable for resizing across digital, print, and large-format outdoor reproductions.

16. Agency Licensing Governance and Declared End-Client Rules

16.1 Agency Delegation: Advertising agencies, digital marketing studios, and corporate communications firms may license images on behalf of third-party clients.

16.2 Mandatory Declared End-Client Rule: Before downloading an image, the agency MUST select or enter the legal name of the Declared End-Client. The generated Licence Certificate shall explicitly name the Declared End-Client as the authorized legal beneficiary.

16.3 Single Client Rule: A licensed download covers ONE Declared End-Client. An agency CANNOT reuse a single licensed download for multiple, unrelated client brands. Licensing the same image for a second client brand requires a separate advance download.

16.4 Client Portability: Because the licence is registered in the Declared End-Client's legal name, the client brand retains perpetual rights to continue using the published campaign visuals even if they change creative agencies.

17. Human-Assisted Curation ("Brief-to-Board") SLAs

17.1 Verified business and agency account holders receive complimentary human-assisted search support. Users may submit campaign brief parameters (state, crop stage, occupation, attire, layout, and deadline) via www.indipik.com/share-your-brief.

17.2 Indipik's visual research team will curate a watermarked selection board within 2 to 4 business hours for urgent agency pitch briefs, delivered directly to the user's dashboard.

18. Extended Licensing, Resale Merchandise, and Packaging

18.1 Uses requiring an Extended Licence (starting from ₹15,000 + GST per asset):

  • (a) Commercial retail product packaging and physical containers;
  • (b) Resale merchandise (T-shirts, calendars, mugs, posters, print-on-demand products);
  • (c) Resale digital templates where the image forms the primary value; and
  • (d) Broadcast TV commercials, feature films, cinema ads, and OTT programming.

18.2 Extended usage rights must be approved and paid 100% in advance prior to commercial manufacturing or broadcast distribution.

19. Exclusive Market-Lock Rights (Territory & Category Exclusivity)

19.1 Subscribers may request Category or Regional Exclusivity ("Market Lock") to restrict future licensing of a specific asset within defined state geographies (e.g., Maharashtra, Telangana), industry sectors (e.g., Agri-Fintech, FMCG), or time periods (1 to 3 years).

19.2 Market locks require a custom quotation and 100% advance payment. Market locks operate prospectively and do not cancel valid licenses issued prior to the market-lock effective date.

20. Permitted Editing, Cropping, and Design Modifications

20.1 Licensees may crop, resize, retouch, color-correct, remove backgrounds, overlay text/logos, and combine licensed images into composite campaign artwork.

20.2 Prohibited Editing: Edits must not alter model facial features, body proportions, or cultural attire in a defamatory, deceptive, sexually explicit, or degrading manner. Editing an image does not transfer underlying copyright to the licensee.

21. Prohibited Platform Uses and Commercial Restrictions

Users shall NOT, directly or indirectly:

  • (a) Standalone File Resale: Resell, sublicense, gift, upload, or redistribute raw image files on standalone stock sites, torrent networks, or open file-sharing drives;
  • (b) Trademarks & Logos: Register any licensed image as a trademark, service mark, business logo, or brand identity;
  • (c) Defamatory & Sensitive Contexts: Use images in pornographic, illegal, defamatory, hateful, or fraudulent advertising, or depict models in a misleading medical, criminal, or substance abuse context without explicit written clearance;
  • (d) Political & Endorsement Claims: Falsely state or imply that a depicted model personally uses, endorses, or advocates for a commercial product, political party, or religious cause; and
  • (e) Child Safety: Use images featuring children in adult-oriented, exploitative, or harmful contexts.

22. Strict Prohibition Against AI Model Training, Scraping, and Biometrics

22.1 ABSOLUTE AI TRAINING BAN: Indipik images, metadata, previews, search taxonomy, and text captions shall NOT be scraped, bulk-downloaded, crawled, or ingested to train, fine-tune, evaluate, or develop generative AI models, machine learning algorithms, computer vision tools, facial recognition systems, or biometric databases.

22.2 Anti-Scraping Protection: Automated scraping, web crawling, rate-limit bypassing, or bulk extraction is strictly prohibited and monitored via IP tracking. Any breach shall incur liquidated damages of ₹25,000,000 per violation plus legal enforcement costs.

23. Model and Property Release Warranties

23.1 Indipik warrants that all commercial assets carry valid, executed Model Releases and Property Releases (where required) sufficient to grant commercial usage rights.

23.2 Indipik maintains redacted release confirmation records to verify model consent while protecting model personal privacy in compliance with Indian privacy laws.

24. User Submissions, Campaign Briefs, and Feedback

24.1 By submitting campaign briefs, keywords, layout references, or feedback to Indipik, you grant us a limited, non-exclusive right to process such materials solely for curating selection boards, executing search support, and fulfilling your requests.

24.2 Indipik shall maintain strict confidentiality over unreleased corporate briefs and client pitch materials submitted through the brief portal.

25. Intellectual Property Rights in Platform and Content

All title, copyright, ownership, and intellectual property rights in the Platform, search algorithms, taxonomy, metadata, and 50,000+ image library remain exclusively with Indipik Digital Media LLP or its contributing photographers. Licensing grants a limited commercial usage right; it does not transfer copyright ownership.

26. Copyright Takedown Notice Protocol

If any person believes that content on Indipik infringes their copyright, they may submit a formal takedown notice to support@indipik.com containing: (a) claimant identity and authority; (b) specific Asset ID or URL; (c) evidence of copyright ownership; and (d) a signed statement of good-faith belief. Indipik shall investigate and act within 36 hours.

27. Third-Party Payment Gateways and External Links

27.1 Online advance payments are processed securely via Axis Bank payment gateway. Indipik does not store CVV or full credit card numbers on its servers.

27.2 The Platform is not responsible for third-party external links or independent payment gateway downtime.

28. Platform Availability, Maintenance, and Security

Indipik implements SSL encryption, role-based access controls, and daily backups. We reserve the right to perform emergency maintenance. Licensees should maintain local backup copies of downloaded assets and generated Licence Certificates.

29. Disclaimers of Warranties

EXCEPT FOR EXPRESS WARRANTIES STATED HEREIN, THE PLATFORM AND CONTENT ARE PROVIDED "AS IS". INDIPIK DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR REGULATED USE, OR UNINTERRUPTED ACCESSIBILITY. LICENSEES REMAIN SOLELY RESPONSIBLE FOR REGULATORY AND ADVERTISING COMPLIANCE IN THEIR FINAL CAMPAIGNS.

30. Limitation of Liability and Liability Caps

32. Account Suspension and Cancellation

Indipik reserves the right to suspend or terminate accounts without prior notice in cases of non-payment, fraud, credential sharing, automated scraping, or unauthorized file distribution. Valid licenses issued prior to suspension shall remain effective unless obtained through fraud.

33. Electronic Contracting and Communications

34.2 Unresolved commercial disputes shall be referred to binding sole-arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be INDORE, MADHYA PRADESH, INDIA. Proceedings shall be conducted in English.
